Terms of Service

The Terms of Service describes the contract between SEO War Room and its customers. Key surfaces: acceptable use (no scraping at industrial scale, no resale of platform output without license, no use to violate third-party rights), uptime commitments (best-effort with stated SLA for the elite tier), data ownership (customer owns their data; platform owns the brain models and aggregated insights), billing (monthly or annual, prorated on tier change, refunds within 14 days), and termination conditions (either party with 30 days notice; immediate for breach).

How the platform is built

SEO War Room is built on a multi-tenant Supabase backend with strict row-level security, a React-based frontend that pre-renders public pages for crawl-friendliness, edge functions for asynchronous workflows, and integrations into every major data source a working SEO needs, Google Search Console, DataForSEO, Bing Webmaster, and the major AI answer engines. Every interaction with the platform flows through the Strategy Brain, which means the system gets smarter with each project and every action compounds across the customer base.

These Terms of Service ("Terms") are an agreement between you and SEO War Room ("we", "us") governing your use of seowarroom.app, our browser extension, and related services (together, the "Service"). By creating an account or using the Service you accept these Terms. If you use the Service on behalf of a company or agency, you accept them for that organization and confirm you have authority to do so.

1. Accounts

You must provide accurate registration information, keep your credentials confidential, and be at least 16 years old. You are responsible for all activity under your account and for the users you invite into your workspace. Notify us immediately at hello@seowarroom.app if you suspect unauthorized access.

2. Subscriptions, Billing, and Refunds

Paid plans are billed as subscriptions processed securely by Gumroad. Subscriptions renew automatically until cancelled; you can cancel at any time and keep access until the end of the paid period. Payments are non-refundable unless a refund is legally mandated in your jurisdiction. Keeping a valid payment method on file is your responsibility, and we may suspend access for failed payment after notice. Prices may change with at least 30 days' notice, applying from your next renewal.

3. Referral Program

Paid subscribers may refer others using a personal referral link. When a referred person subscribes to a paid plan through that link, both the referrer and the referred subscriber earn a credit equal to 10% of the referred person's first payment. This credit is applied automatically as a partial refund against each party's next subscription renewal; it is not redeemable for cash and has no value outside an active paid subscription. Credit is reversed if the referred payment is refunded or disputed. Self-referrals and abuse of the program void any associated credit, and we may modify or end the program at any time.

4. Your Content

You own everything you put into the Service: projects, client records, keywords, drafts, reports, and data returned by integrations you connect ("Customer Content"). You grant us a limited license to host, process, transmit, and display Customer Content solely to operate, secure, and support the Service. We claim no other rights in it, and we do not use Customer Content to train AI models. You are responsible for having the rights and consents needed for the content and client data you upload.

5. Our Intellectual Property

The Service, including the software, the SEO Encyclopedia, SEO University materials, playbooks, and all other content we provide, is owned by SEO War Room and protected by intellectual property law. Your subscription grants a personal, non-transferable right to use it while your account is active. You may use our materials in your own client work; you may not resell, republish, scrape, or bulk-export them, and you may not copy them to build a competing product.

6. Acceptable Use

You agree not to: attempt to breach or probe the Service's security; access another customer's workspace or data; bypass paywalls or plan limits; scrape or bulk-download our proprietary content; submit malicious payloads; poll API endpoints at abusive rates; use the Service for unlawful activity, spam, or deceptive "black-hat" automation services; or misrepresent AI-generated output as independent third-party endorsement. We may throttle or suspend accounts that endanger the platform or other customers.

7. Agencies and White-Label Use

If you run client work through the Service, including white-label or subdomain deployments, you remain fully responsible to your clients: for the accuracy of deliverables, for having a lawful basis to process their data, and for your own client agreements. We process your clients' data as your processor under the Data Processing Addendum, which forms part of these Terms for business customers.

8. Third-Party Services

The Service interoperates with third parties you choose to connect, such as Google Search Console, Google Analytics, social platforms, and payment services. Your use of those services is governed by their own terms, and we are not responsible for their availability or decisions (including API changes or account actions they take). Data obtained from Google APIs is handled per the Limited Use commitments in our Privacy Policy.

9. AI Features

AI features produce probabilistic output that can be wrong, incomplete, or outdated. You are responsible for reviewing AI output before relying on it or delivering it to a client. See our AI Disclosure. AI features depend on third-party model providers and may change as those providers change.

10. Availability

We work to keep the Service available and publish status at API Status, but the Service is provided without an uptime guarantee on self-serve plans. We may modify features over time; if we discontinue a material feature you paid for, we will tell you in advance.

11. Termination and Data Export

You may delete your account at any time from workspace settings. We may suspend or terminate your account for breach of these Terms, fraud, or illegal use, with notice unless the situation requires immediate action. On termination you can export your Customer Content for 30 days, after which it is deleted per the retention schedule in the Privacy Policy. Sections that by nature survive termination (IP, disclaimers, liability limits, governing law) survive.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that using it will produce any particular search ranking, traffic, or business result.

13. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

14. Indemnification

You will defend and indemnify us against claims arising from your Customer Content, your client relationships, or your breach of these Terms or applicable law.

15. Governing Law and Disputes

These Terms are governed by the laws applicable at SEO War Room's principal place of business. Before bringing a formal claim, both parties agree to first attempt to resolve any dispute informally by contacting the other and allowing 30 days for good-faith resolution.

16. Changes to These Terms

We may update these Terms as the Service evolves. For material changes we will notify active customers by email or in-product notice at least 14 days before they take effect; continued use after that date is acceptance. The "Last updated" date above always reflects the current version.
